Present,
The Queen's Most Excellent Majesty in Council
Whereas in pursuance of section 15 of the Charities Act 1993[
1] ("the Act") a Scheme has been made with respect to the Institution of Chemical Engineers ("the Institution"):
And whereas it appears to Her Majesty expedient, having regard to the Scheme, to amend the Charter of the Institution:
And whereas the Institution has made an application to Her Majesty that the Charter should be amended accordingly:
Now therefore Her Majesty, by and with the advice of Her Privy Council, in exercise of Her powers under section 15(2) of the Act and of all other powers enabling Her in that behalf, hereby orders as follows:
1.
This Order may be cited as The Institution of Chemical Engineers (Charter Amendment) Order 2004 and shall come into effect on 27th July 2004.
2.
The Charter of the Institution of Chemical Engineers shall be amended in the manner set out in the Schedule to this Order.

SCHEDULE
The Charter of the Institution of Chemical Engineers shall be amended as follows:
(a) In Article 6 at the end of paragraph (e) delete the full stop and substitute "; or";
(b) In Article 6 after paragraph (e) insert the following new paragraph:
"
(f) the payment by the Institution of premiums for the provision of indemnity insurance to cover the liability of the members of the Council which by virtue of any rule of law would otherwise attach to them in respect of any negligence, default, breach of trust or breach of duty of which they may be guilty in relation to the Institution; provided that any such insurance shall not extend to any claim arising from any act or omission which the members of the Council knew to be in breach of trust or breach of duty or which was committed by the members of the Council in reckless disregard to whether it was a breach of trust or breach of duty or not and provided also that any such insurance shall not extend to the costs of any unsuccessful defence to a criminal prosecution brought against the members of the Council in their capacity as Trustees of the Institution."
EXPLANATORY NOTE
(This note is not part of the Order)
This Order amends the Charter of the Institution of Chemical Engineers in order to give effect to a Scheme made by the Charity Commissioners permitting the Institution to apply funds to the payment of indemnity insurance premiums in respect of the Institution's Council members in their capacity as trustees.
