AGRICULTURAL TRUST ACT (NORTHERN



8. This Act may be cited as the Agricultural Trust Act (Northern Ireland)
1966.1.(1) The Trust shall consist of a Chairman and eight other persons
appointed by the Minister to be members of the Trust.

(2) Not fewer than two and not more than four of such other persons shall be
selected by the Minister from a list of at least eight persons to be submitted
to him by the Ulster Farmers' Union.

(3) One of such other persons shall be appointed by the Minister on the
recommendation of the Minister of Commerce.

2.(1) Subject to the following provisions of this paragraph, a member of
the Trust shall hold office for such term and subject to such conditions as
the Minister may determine.

(2) If a casual vacancy occurs in the membership of the Trust the Minister
shall

(a)in the case of the vacancy of a member appointed pursuant to
paragraph 1(2), appoint a person selected by him from a list of persons to be
submitted to him by the Ulster Farmers' Union;

(b)in the case of the vacancy of a member appointed pursuant to
paragraph 1(3), appoint a person nominated by the Minister of Commerce; and

(c)in any other case appoint such person as he may think fit;

(3) A person appointed to fill a casual vacancy shall hold office only for the
remainder of the term for which the member whom he replaces was appointed.

(4) If, within three months after being asked to submit a list of persons for
any appointment to the Trust, the Ulster Farmers' Union neglects or fails to
submit such list, the Minister may fill the appointment by such person or
persons as appear to him to represent the interests of agricultural producers
in Northern Ireland.

3.(1) A member may resign his office by notice in writing given to the
Minister.

(2) A member of the Trust shall cease to hold office:

(a)if he is absent from the meetings of the Trust for more than six months
consecutively except for some reason approved by the Minister;

(b)if he is detained for more than seven days in any place under any enactment
in force for any part of the United Kingdom relating to persons of unsound
mind;

(c)if he is convicted of any indictable offence or any offence involving fraud
or dishonesty; or

(d)if he is adjudged bankrupt or enters into a composition with his creditors.

(3) The Minister may remove any member of the Trust from office for misconduct
or incapacity.

4. A member of the Trust whose term of office expires by effluxion of time or
who has resigned or is deemed to have resigned shall be eligible for
re-appointment.

5.(1) The quorum of a meeting of the Trust shall be five.

(2) Every question at a meeting of the Trust shall be determined by a majority
of the votes of the members present and voting on the question, and in the
case of an equal division of votes, the chairman of the meeting shall have a
second or casting vote.

6.(1) The Trust shall have power to act notwithstanding any vacancy in their
numbers or in the absence of the Chairman.

(2) If the Chairman is unable to be present at any meeting of the Trust he may
appoint another member to act in his stead at that meeting.

(3) If the Chairman is absent and no member has been so appointed by the
Chairman, the Trust shall elect one of the members present at the meeting to
preside at that meeting.

7. No defect in the appointment of any person acting as a member of the Trust
shall vitiate any proceedings of the Trust in which he has taken part.

8. The common seal of the Trust shall, when applied to a document, be attested
by the signatures of any two members of the Trust authorised by the Trust to
act for that purpose.

9.(1) Any contract or instrument which, if entered into or executed by an
individual, would not require to be under seal may be entered into or executed
on behalf of the Trust by any person generally or specially authorised by
the Trust to act for that purpose.

(2) Before any contract for the supply of goods or the execution of any works
[exceeding such value as the Department may from time to time determine] is
entered into by the Trust, at least ten days public notice shall be given in
one or more than one daily newspaper circulating in Northern Ireland of the
nature of the proposed contract and inviting tenders for the execution
thereof; and the Trust may require and take security for the due performance
of the contract.

(3) Sub-paragraph (2) shall not apply in any case in which the Minister, on
the ground of circumstances appearing to him to be special circumstances, so
directs.

10.(1) A member of the Trust shall, if he is in any way directly or indirectly
interested in any contract or other transaction entered into or proposed to be
entered into by the Trust which involves or is likely to involve any payment
by or on behalf of the Trust disclose the nature of his interest at a meeting
of the Trust as soon as possible after the relevant circumstances have come to
his knowledge.

(2) Any disclosure made by a member under sub-paragraph (1) shall be recorded
in the minutes of the Meeting and that member shall not take part after the
disclosure in any deliberation or decision of the Trust with respect to that
contract or other transaction.

(3) Where under sub-paragraph (2) a member is prohibited from taking part in
any deliberation or disclosure, that member shall be disregarded for the
purpose of constituting a quorum of the Trust for any such deliberation or
decision.

(4) A copy of the minutes of every meeting of the Trust shall, within fourteen
days after such meeting, be forwarded to the Minister.

11.(1) The Trust may, as regards any officer or servant in whose case it may
be determined by the Trust with the approval of the Ministry so to do, make
provision in accordance with arrangements approved by the Ministry of Finance
for the payment on death or retirement of pensions gratuities or other like
benefits to or in respect of the service of such officer or servant.

(2) The provision authorised by this paragraph may be made either by
contributory or by non-contributory arrangements or partly by the one and
partly by the other.

12.(1) Subject to the provisions of this paragraph, the Trust may constitute
committees and may delegate to a committee any of the functions of the Trust.

(2) A committee constituted under this paragraph may contain persons other
than members of the Trust so long as the number of such persons is less than
the number of members of the Committee who are members of the Trust.

(3) The powers of any committee of the Trust shall be exercised, and the
proceedings of the committee shall be regulated, in accordance with and
subject to any directions given by the Trust.
